Terms of Service

By accessing or using the services provided by Chainworks Technologies Pvt. Ltd. ("Chainworks," "we," "us," or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree with any of these terms, you are prohibited from using or accessing our services. The materials contained in our services are protected by applicable copyright and trademark law.

"Services"

Refers to all AI, Blockchain, Quantum Computing, consulting, and implementation services provided by Chainworks.

"Client"

Any individual or entity that uses our Services, including website visitors, prospective clients, and contracted customers.

"Content"

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code.

"User Account"

An account created by a Client to access specific Services and features.

Chainworks provides enterprise technology solutions including but not limited to:

Specific service terms, scope, deliverables, and pricing will be detailed in individual Service Agreements or Statements of Work.

As a user of our Services, you agree to:

• Provide accurate and complete information when required
• Maintain the security of your account credentials
• Use the Services only for lawful purposes
• Comply with all applicable laws and regulations
• Respect intellectual property rights
• Not attempt to disrupt or compromise our systems
• Not use the Services to transmit malicious code
• Not engage in any fraudulent or deceptive activities

You are responsible for all activities that occur under your account and for keeping your password secure.

All content, features, and functionality available through our Services, including but not limited to text, graphics, logos, images, and software, are the exclusive property of Chainworks Technologies Pvt. Ltd. and are protected by international copyright, trademark, and other intellectual property laws.

Client-Generated Content:

• Clients retain ownership of their pre-existing intellectual property
• Chainworks retains ownership of its proprietary technology and methodologies
• Jointly developed IP will be governed by separate agreements
• Client grants Chainworks limited license to use content for service delivery

You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from our Services without our express written permission.

For contracted services:

• Fees will be specified in individual Service Agreements
• Payment terms are typically net 30 days from invoice date
• Late payments may incur interest charges of 1.5% per month
• Clients are responsible for all applicable taxes
• Custom payment plans may be available for large projects

For consulting services:

• Hourly rates or project-based pricing
• Retainer arrangements available
• Travel expenses billed separately with prior approval

We reserve the right to suspend services for accounts with overdue payments. Reactivation may require payment of all outstanding balances plus any reactivation fees.

Both parties agree to maintain the confidentiality of any proprietary or confidential information received from the other party. Confidential information includes:

• Business plans and strategies
• Technical specifications and architectures
• Client lists and business relationships
• Financial information and pricing
• Proprietary algorithms and methodologies
• Any information marked as "Confidential"

The obligation of confidentiality shall survive termination of these Terms and any Service Agreements.

For ongoing services, specific Service Level Agreements (SLAs) will be defined in individual contracts. Generally, we commit to:

Specific SLAs will be tailored to each client's requirements and documented in the Service Agreement.

To the fullest extent permitted by applicable law, Chainworks Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

Our total cumulative liability to you for all claims arising from or related to the Services shall not exceed the total amount of fees paid by you to us for the Services in the six (6) months preceding the event giving rise to the claim.

We may terminate or suspend your access immediately if:

• You breach these Terms of Service
• You fail to make payments when due
• You engage in illegal or fraudulent activities
• Required to do so by law

Upon termination:

• Your right to use the Services will immediately cease
• All outstanding payments become immediately due
• We may delete your account and associated data
• Confidentiality obligations continue to apply

You may terminate these Terms at any time by discontinuing use of our Services and providing written notice.

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Dhayari, Pune, Maharashtra, India .

We make no representation that our Services are appropriate or available for use in other locations. Those who access or use our Services from other jurisdictions do so at their own volition and are responsible for compliance with local law.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

We will notify you of changes by posting the updated Terms on this page and updating the "Last Updated" date.
